Terms of Service

These terms govern your use of Themis Legal ("Themis", "the Service"), provided by Arkon Technology Ltd. ("Arkon Technology", "we"). By creating an account or signing in, you agree to be bound by them.
1. Who can use Themis
Themis is provided to legal professionals and the firms that employ them. You must be at least 18 years old, authorised by your firm to enter into agreements on its behalf if you create a firm account, and not subject to a sanctions regime that prohibits us from doing business with you.
2. Your account
- You are responsible for keeping your sign-in credentials and your vault password confidential. Themis cannot recover your vault password — losing it means losing the ability to decrypt files sealed with it. Download the recovery kit at vault setup and store it where you trust.
- The partner who first signs the firm up becomes the firm administrator. Adding additional members, demoting partners, and removing members are partner-level actions, audited in the firm log.
- You agree not to share your account with anyone outside your firm and not to use Themis to circumvent the access controls of any party.
3. Your content
You retain all rights, title, and interest in the content you upload to Themis. We do not claim ownership of your cases, notes, documents, or any other material you put into a vault. You grant us a narrow licence to store, transmit, and back up that content for the purpose of providing the service — and nothing more.
Because the vault content reaches our servers as ciphertext, our practical ability to use it for anything else is nil. We could not analyse, sell, or publish your documents even if we wanted to: we do not have the keys.
4. Acceptable use
You agree not to use Themis to:
- store or distribute malware or unlawful content,
- attempt to defeat, probe, or stress-test the security of the service without our prior written consent,
- scrape, mirror, or systematically extract data beyond your own firm's scope,
- impersonate another person, firm, or chambers,
- violate applicable export-control, sanctions, or data-protection laws.
5. Subscription and billing
Themis is provided on a paid subscription basis. You agree to pay the fees displayed at checkout for the plan you select. Charges renew automatically at the end of each billing period unless cancelled. You may cancel at any time from Settings → Billing; cancellation takes effect at the end of the current billing period.
Trial accounts have a 30-day free window followed by a 14-day grace period during which the service downgrades to read-only. After the grace period, mutations are blocked until a plan is selected; data remains accessible and exportable.
We may change pricing with 30 days' advance notice. If you do not agree to a price change, you may cancel without penalty before the new pricing takes effect.
6. Service availability
We aim for 99.9% monthly availability and publish status information when there is an active incident. Planned maintenance windows are announced in advance. We are not liable for downtime caused by your network, your devices, or your upstream providers.
7. Suspension and termination
We may suspend or terminate an account for non-payment after the read-only grace period, for sustained abuse of the acceptable-use policy, or where we are compelled to do so by law. Wherever possible we will notify the partner before taking action. You may delete your account at any time from Settings → Your data; deletion triggers the soft-delete + 90 day support window + hard-purge sequence described in the Privacy Policy.
8. Disclaimers
Themis is a software tool, not legal advice. We do not guarantee that using Themis will comply with the bar rules or court procedures applicable to your practice. You remain responsible for legal correctness, deadlines, conflicts checks, and any required filings.
To the maximum extent permitted by law, the service is provided "as is". We disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement, except where mandatory law provides otherwise.
9. Limitation of liability
To the maximum extent permitted by law, our aggregate liability for any claim arising out of or relating to the service is limited to the fees you paid to Themis in the twelve months preceding the event giving rise to the claim. We are not liable for indirect, consequential, incidental, special, or punitive damages, including lost profits, lost data (other than data we are contractually obligated to preserve), or loss of goodwill.
Nothing in these terms limits liability for fraud, wilful misconduct, or any other liability that cannot lawfully be excluded.
10. Governing law and venue
These terms are governed by the laws of England and Wales, without regard to conflict-of-laws principles. The courts of London, England have exclusive jurisdiction over disputes arising out of or relating to these terms, except that we retain the right to seek injunctive relief in any court of competent jurisdiction.
11. Changes
We may update these terms from time to time. Material changes will be announced in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.
